CrowdShare, LLC Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the CrowdShare website, platform, applications and related services (collectively, the “Services”) operated by CrowdShare, LLC (“CrowdShare,” “we,” “us,” “our”).

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

If you are using CrowdShare on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms.

The Services are not intended for children.

2. Account Registration and Security

To access certain features, you must create an account.

You agree to:

  • Provide accurate, current and complete information

  • Maintain the security and confidentiality of your login credentials

  • Promptly update account information as needed

  • Accept responsibility for all activity under your account

You are responsible for any actions taken through your account, whether authorized or not. Notify CrowdShare immediately of any unauthorized access or suspected security incident.

3. Description of Services

CrowdShare provides tools for social media marketing, content creation, AI assisted content generation, scheduling, publishing, collaboration, asset management and analytics.

Features, functionality and availability may change over time. We reserve the right to modify, suspend or discontinue any part of the Services at any time, subject to applicable law.

CrowdShare does not guarantee access to any specific Third Party Platform integration, metric or feature.

4. Third Party Platforms and Integrations

The Services allow you to connect accounts from third party platforms such as Meta, TikTok, X, LinkedIn and YouTube (“Third Party Platforms”).

By connecting an account, you authorize CrowdShare to:

  • Access data permitted by the platform and your granted permissions

  • Publish, schedule or manage content on your behalf when you initiate actions

  • Retrieve analytics and performance data where supported

You acknowledge and agree:

  • Third Party Platforms operate independently and are governed by their own terms and policies

  • CrowdShare does not control Third Party Platforms and is not responsible for their actions

  • Platform outages, limitations or policy changes may affect the Services

  • You are solely responsible for complying with all applicable platform rules, advertising policies and community guidelines

CrowdShare is not responsible for account suspensions, content removals, enforcement actions or penalties imposed by Third Party Platforms.

5. User Content

5.1 Ownership

You retain ownership of all content you upload, submit, generate, schedule or manage through the Services (“User Content”).

By using the Services, you grant CrowdShare a non exclusive, worldwide, royalty free license to host, store, process, transmit, display and reproduce User Content solely for the purpose of providing, maintaining and improving the Services.

This license terminates when your User Content is deleted, except where retention is required for legal, security or operational purposes.

5.2 Responsibility for Content

You are solely responsible for:

  • The legality, accuracy and appropriateness of User Content

  • Obtaining all rights, licenses and permissions required to use and publish User Content

  • Compliance with applicable laws, regulations and platform policies

You agree not to upload, publish or distribute content that:

  • Violates any law or regulation

  • Infringes intellectual property, privacy or publicity rights

  • Is deceptive, misleading or fraudulent

  • Contains malicious code or harmful software

  • Harasses, abuses or threatens others

  • Violates Third Party Platform rules

CrowdShare may remove or restrict access to User Content that violates these Terms or applicable law.

6. AI Generated Content

The Services may include artificial intelligence and machine learning based features that generate or assist with content creation (“AI Generated Content”).

You acknowledge and agree:

  • AI Generated Content is provided for informational and creative assistance only

  • AI Generated Content may be inaccurate, incomplete or inappropriate

  • CrowdShare does not guarantee originality, accuracy or compliance of AI Generated Content

  • You are solely responsible for reviewing, editing and approving AI Generated Content before use or publication

  • You are responsible for ensuring AI Generated Content complies with laws, advertising rules and platform policies

CrowdShare disclaims all liability arising from your use of AI Generated Content.

7. Acceptable Use

You agree not to:

  • Use the Services for unlawful or unauthorized purposes

  • Circumvent security or access controls

  • Interfere with or disrupt the Services or infrastructure

  • Reverse engineer, scrape or extract source code except as permitted by law

  • Automate abusive behavior or manipulate engagement metrics

  • Misrepresent your identity or affiliation

We reserve the right to investigate violations and take appropriate action, including suspension or termination.

8. Subscription Plans, Fees and Payments

Certain features require payment.

You agree to:

  • Pay all applicable fees associated with your selected plan

  • Provide accurate billing information

  • Authorize CrowdShare and its payment processors to charge your payment method

Fees are non refundable except as required by law or expressly stated otherwise. Pricing and plans may change with reasonable advance notice.

Failure to pay may result in suspension or termination of access.

9. Free Trials and Beta Features

Free trials and beta features are provided as is and may be modified or discontinued at any time. CrowdShare makes no guarantees regarding performance, availability or data retention for beta features.

10. Privacy and Data

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use and protect information.

You acknowledge that no system can guarantee absolute security and that you are responsible for backing up your data.

11. Confidentiality

Each party agrees to protect non public, confidential information received in connection with the Services and to use such information only for purposes related to the Services.

Confidential information does not include information that is publicly available, independently developed or lawfully obtained from a third party.

12. Intellectual Property

The Services, including software, design, text, graphics, trademarks and logos, are owned by CrowdShare or its licensors and are protected by intellectual property laws.

You are granted a limited, revocable, non transferable license to use the Services in accordance with these Terms.

You may not copy, modify, distribute, sell or lease any part of the Services without prior written consent.

13. Suspension and Termination

CrowdShare may suspend or terminate access if:

  • You violate these Terms

  • You fail to pay applicable fees

  • Your use poses legal, security or operational risk

  • Required by law or Third Party Platform policies

You may cancel your account at any time. Upon termination, your right to use the Services ends and access to User Content may be removed after a reasonable period.

Sections relating to intellectual property, disclaimers, limitation of liability, indemnification and dispute resolution survive termination.

14. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CROWDShare DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON INFRINGEMENT.

CrowdShare does not guarantee uninterrupted operation, error free performance or continued availability of Third Party Platform integrations.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • CROWDShare IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES

  • CROWDShare’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU TO CROWDShare IN THE TWELVE MONTHS PRECEDING THE CLAIM

Some jurisdictions do not allow certain limitations, so these limits may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless CrowdShare, its officers, directors, employees and affiliates from any claims, damages, losses and expenses arising from:

  • Your use of the Services

  • Your User Content or AI Generated Content

  • Your violation of these Terms, applicable law or platform policies

17. Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY.

Any dispute, claim or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through binding arbitration, not in court, except where prohibited by law.

Arbitration shall be conducted on an individual basis. YOU AGREE THAT YOU AND CROWDShare WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION OR REPRESENTATIVE PROCEEDING.

The arbitration shall be administered by a recognized arbitration provider under its applicable rules. The seat of arbitration shall be Texas, United States, unless otherwise required by law.

Each party shall bear its own costs unless the arbitrator determines otherwise.

18. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of laws principles.

19. Assignment

You may not assign these Terms without prior written consent. CrowdShare may assign these Terms in connection with a merger, acquisition or sale of assets.

20. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

21. Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements you enter into with CrowdShare, constitute the entire agreement between you and CrowdShare regarding the Services.
